1. Introduction

Welcome to SafeTech Biomedical (“we,” “us,” “our”). By accessing or using our website at https://www.safetechbiomedical.ca (the “Site”), or purchasing goods or services through the Site, you agree to these Terms & Conditions (“Terms”). If you do not agree to these Terms, please do not use the Site or make purchases.

2. Definitions

  • “Customer,” “you,” “your” refers to the person or entity using the Site or entering into a transaction.

  • “Goods” means the physical items sold via the Site (e.g., biomedical equipment, parts, services).

  • “Services” means maintenance, repair, consultation or other service offerings provided by us.

  • “Order” means your request to purchase Goods or Services via the Site.

  • “Contract” means the contract between you and us for the purchase of Goods or Services under these Terms.

3. Use of the Site

  • You represent that you are at least 18 years old (or of legal age in your jurisdiction) and able to form binding contracts.

  • You agree to use the Site only for lawful purposes and in a way that does not violate any applicable laws or regulations.

  • You agree not to misuse the Site (e.g., no hacking, interfering with servers, scraping data, posting harmful content).

4. Orders & Acceptance

  • When you place an Order, we will send you an email acknowledging receipt. This does not mean we have accepted your Order. Acceptance occurs when we send a second email confirming the Order (“Confirmation Email”) or when we deliver the Goods/Services.

  • We reserve the right to refuse or cancel any Order for any reason (including availability, errors in description, pricing, or suspected fraud).

  • These Terms apply to each Contract you enter with us.

5. Pricing & Payment

  • Prices for Goods or Services are as indicated on the Site at the time you place your Order, except in cases of obvious error.

  • Prices exclude applicable taxes (GST/HST/PST) and shipping/handling charges unless otherwise specified.

  • Payment must be received in full before delivery of Goods or commencement of Services unless otherwise agreed.

  • If your payment fails, we may cancel your Order or suspend further delivery.

6. Delivery & Shipping (for Goods)

  • We will deliver Goods to the delivery address you specify. Delivery times are estimates only; we do not guarantee delivery by a specific date.

  • Risk of loss and damage transfers to you when we deliver the Goods to the carrier.

  • You are responsible for inspecting the Goods upon delivery and notifying us of any damage or missing items within [e.g., 7 days].

  • Title to Goods (ownership) remains with us until full payment is received, unless otherwise agreed.

7. Services

  • We will perform Services with reasonable skill and care in accordance with industry standards.

  • Any timeframe given for Services is an estimate only.

  • You must provide us with the access, information and cooperation we reasonably need to perform the Services. We are not liable for delays or extra costs caused by your failure to cooperate.

8. Returns & Refunds

  • For Goods: please refer to our Refund & Returns Policy (see section 11) for details on returns, exchanges and refunds.

  • For Services: unless otherwise agreed in writing, we do not offer refunds once Services have been commenced or completed, except where required by consumer protection law.

9. Intellectual Property

  • All content on the Site (text, graphics, logos, images, software, data) is our property or is licensed to us and is protected by copyright, trademark and other laws.

  • You may view and download material for your personal, non-commercial use only. You may not copy, distribute, modify, republish or create derivative works without our prior written consent.

10. Disclaimers

  • The Site, Goods and Services are provided “as is” and “as available” without warranties of any kind, whether express or implied (including fitness for a particular purpose, accuracy of information, non-infringement).

  • We do not guarantee that the Site will be uninterrupted, secure or error-free.

  • We do not warrant that use of the Goods/Services will meet your requirements or result in a particular outcome.

11. Limitation of Liability

  • To the fullest extent permitted by law, our total liability to you for any claim arising in connection with the Site, Goods or Services is limited to the amount you paid us for the Goods or Services in question.

  • We are not liable for any indirect, incidental, special, punitive or consequential damages (including loss of profit, data, goodwill) even if we have been advised of the possibility of such damages.

  • Nothing in these Terms limits any liability that cannot be excluded or limited under applicable law (for example, liability for death or personal injury caused by negligence).

12. Indemnification

You agree to indemnify and hold us, our directors, officers, employees, agents and affiliates harmless from any claim, loss, damage, cost or expense (including legal fees) arising from your use of the Site, your breach of these Terms, or your violation of law or the rights of a third party.

The Site may include links to third-party websites or services. We are not responsible for the content, policies or practices of any linked websites. You should review their terms and privacy policies before using them.

14. Changes to Terms

We may update or modify these Terms at any time, in our sole discretion, by posting a revised version on the Site. The revised Terms are effective when posted. Your continued use of the Site after posting signifies your acceptance of the changes.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein. Any dispute arising from or relating to these Terms or your use of the Site will be subject to the exclusive jurisdiction of the courts of Alberta.

16. General

  • If any provision of these Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remainder of the Terms will remain in full force.

  • These Terms constitute the entire agreement between you and us regarding your use of the Site and the purchase of Goods/Services, and supersede all prior or contemporaneous agreements.

  • Headings are for convenience only and do not affect interpretation.
